THIS AGREEMENT IS CONCLUDED BETWEEN:

YOU, AND

JimNab Inc, a legal person having its registered office at 4702 Louis-B-Mayer, suite 200, Laval, H7P 0G1,

hereinafter referred to as “the service provider”

Whereas the service provider is specialized in the following field: Optimization and implementation of customer management process (CRM) in the field of mortgage brokerage in Quebec, particularly with Pipedrive;

Whereas the client wishes to obtain the services of the service provider;

Whereas the Client considers that the Service Provider has the necessary skills, qualifications and experience to provide the Services to the Client;

Whereas the service provider is an official partner of Pipedrive and agrees to provide such services to the client according to the terms and conditions set out below;

CONSEQUENTLY OF THE ABOVE, THE PARTIES AGREE AS ​​FOLLOWS:

The preamble is an integral part of this contract.

OBJECT OF THE CONTRACT

The client retains the services of the service provider under the following mandate (hereinafter referred to as “the mandate”):

  • Organization and/or implementation of a Pipedrive account for the management of mortgage files.
  • Implementation of automation and templates adapted to mortgage brokers.

DURATION AND PERFORMANCE TIMES OF THE SERVICE

Subject to commencing on the date of signature of this contract and will be executed no later than 14 working days.

PERFORMANCE OF THE SERVICE

The service provider undertakes to perform the provision of services according to the following terms:

  • Implementation of a Pipedrive configuration designed and developed by JimNab Inc in a new Pipedrive account for the client. If the client already has a Pipedrive account, we provide a video that explains how to import all contacts, folders, notes, emails…etc from the old account to the new Pipedrive account.
  • The contract includes training videos. A login and password to access tutorials and coaching videos will be provided upon delivery of the Pipedrive account. Access will be made directly in the member area of ​​the jimnab.ca website.
  • The contract includes a starting guide in PDF format to guide the client with its integration into the Pipedrive platform. Also, two Excel files will be provided to the client in order to be able to import their existing files and contacts. An explanatory video will be on the jimnab.ca website and will detail the important step-by-step method.
  • JimNab Inc reserves the right to send free updates to its customers indefinitely after the original implementation.

REMUNERATION AND CONDITIONS OF PAYMENT

  1. For the provision of services, the service provider will receive the following remuneration: $2,000 + taxes (two thousand Canadian dollars + taxes) = $2,299.50, lump sum for all services performed by the service provider. Your price could be reduced if you have a promo code.
  2. The client agrees to pay the service provider the remuneration indicated in the previous clause, subject to the following conditions:
  3. The service provider will invoice the client before implementing the configuration in the client’s Pipedrive account.
  4. The service provider accepts the following forms of payment:
  5. Payment by credit card directly on the jimnab.ca website
  6. Payment by PayPal
  7. Interac transfer to the address: info@jimnab.ca
  8. The service provider is responsible for the management and payment of all and each of the expenses incurred in the provision of the services and cannot charge any of these expenses to the client.
  9. All amounts payable under the Contract are exclusive of taxes, surcharges or other amounts assessed by the provincial or federal governments. Taxes imposed on the customer or the service provider are the exclusive and respective responsibility of each of the parties.

CUSTOMER OBLIGATIONS

The client undertakes to provide the service provider with any relevant and/or available information or data necessary for the performance of the mandate and the services.

The client is required to receive the work at the end of the performance of the services, provided that they have been performed in accordance with the description of the services above.

The client will be subject to the opening of a new Pipedrive account by the service provider.

The customer is responsible for their subscription with Pipedrive and must bear the costs thereof.

The customer gives us his (her) permission to tag and share new members on social media.

OBLIGATIONS OF THE SERVICE PROVIDER

  1. The service provider is solely responsible for executing the necessary work to complete the mandate entrusted hereunder. The service provider undertakes to act in the best interest of the client, with prudence and diligence, in the performance of the services.
  2. The service provider undertakes to execute all work in accordance with the use and rules of the art applicable in his field and/or industry.
  3. The service provider assumes sole control and direction of the performance of the services provided herein. The service provider determines and assumes the choice of the methods used as well as all the operations, acts and gestures carried out or omitted in the performance of his obligations.
  4. Service Provider shall not be liable for any loss or damage caused to Client or third parties by its fault, omission, negligence, change made by Pipedrive in the future or as a result of late performance of any of its obligations to the client.
  5. The service provider undertakes to inform the customer without delay of any delay that may affect the end date of the performance of the services agreed between the parties and in turn, the delivery date of their product.

INTELLECTUAL PROPERTY

  1. Subject to the terms and conditions of this Agreement, the Service Provider may create certain Intellectual Property Rights, including but not limited to specifications, reports, advice, analysis, designs, methodologies, code, or any other necessary for the provision of services to the client. Unless the parties agree otherwise in writing, such material covered by intellectual property rights and generated by the service provider in connection with the provision of services to the customer will belong to the service provider.
  2. Service Provider hereby grants non-exclusive, irrevocable, royalty-free license to use the Materials created by Service Provider for Customer’s internal purposes. However, the customer will not be authorized to copy, distribute or otherwise publish the elements covered by intellectual property rights and generated by the service provider and will not allow third parties to do so.

CONFIDENTIALITY AND NON-DISCLOSURE PLEDGE

  1. The service provider undertakes to treat as strictly confidential any information and any documents belonging to the client which they may become aware of during the rendering of the services and not to disclose or use them for the benefit of themselves and/or third parties. The service provider remains bound by this commitment indefinitely after the completion of the aforementioned work mandate.
  2. The service provider undertakes to return to the client, at the expiry of the present mandate, all the documents and information made available to him for the execution of the mandated work and never to disclose, without the prior written consent of the client, in whole or in part these documents or the content of the information they contain.

NON-EXCLUSIVITY OF SERVICES

The client acknowledges and agrees that the services provided by Service Provider under this Agreement are provided on a non-exclusive basis and in no capacity, is this Agreement to be construed as limiting the Service Provider’s ability to provide services to a third or unrelated party during the term of this contract, subject to full compliance of its obligations as defined in this contract.

SUBCONTRACTING

  1. The service provider may have this mandate executed, in whole or in part, by third parties, subject to the following conditions:
  2. The service provider shall ensure that the third party performing the obligations of the mandate in accordance with the terms and conditions hereof.
  3. The service provider will be liable for the obligations performed by the third party who performs the obligations of the mandate in whole or in part.

ATTRIBUTION OF JURISDICTION

The contract is governed by the laws of the province of Quebec. Any dispute between the parties relating to the interpretation or application of the contract and which cannot be settled amicably will be brought before the courts of the judicial district of the greater Montreal area.

END AND TERMINATION OF THIS AGREEMENT

The contract ends three (3) months after it is signed.  The customer can use the system designed by the service provider indefinitely following the aforementioned three (3) month period.
